1. ELIGIBILITY
The iWon Annual Sweepstakes (the "Sweepstakes") is offered and open only to legal residents of United States and its territories (except residents of Puerto Rico) and Canada (except residents of Quebec) at least 13 years old and who have an active e-mail account and Internet access at the time of entry. Employees and directors of SCA Promotions ("SCA"), and Focus Interactive Inc, d/b/a iWon.com ("Sponsor"), their parents, affiliated and subsidiary companies, advertising and promotion agencies, judges and legal advisors, and the immediate family or members of the households of such employees and directors are not eligible. By entering, you (and your parents and legal guardians if you are a minor) agree to these "Official Rules" and that the decisions of Sponsor and SCA are final and binding in all respects.

Void in the Province of Quebec and where prohibited.

2. PROMOTIONAL PERIOD
Sweepstakes Period begins on April 1, 2006 at 5:00 a.m. Eastern Time (ET), and ends on March 31, 2007 at 11:59:59 p.m. ET (the "Sweepstakes Period"). The Sweepstakes Period shall consist of consecutive 24-hour periods (each a "Day") commencing as of 5:00 a.m. ET each day and ending on the following day at 4:59:59 a.m. ET, except that the final Day of the Sweepstakes Period shall end at 11:59 p.m. ET. Sponsor reserves the right to terminate the Sweepstakes by giving notice during any calendar month, deemed appropriate by Sponsor, in which case the Sweepstakes will terminate on the last day of that calendar month. The Grand Prize will nevertheless be awarded as stated below in the event of any early termination based upon all entries received prior to the moment of termination.

3. ENTRY
There are two ways to enter the Sweepstakes: the "Internet Method" and the "Mail-In Method".

Internet Method: To enter the Sweepstakes by means of the Internet, access the iWon.com website located at http://www.iwon.com (the "Website"). Complete the registration form for membership in the iWon web service (if you have not already registered) by filling out your full name, complete home address (including zip code), date of birth, gender, email address, and any other requested fields, and follow the other instructions set forth on the Website. To enter the Sweepstakes, your computer must accept cookies, or any successor or similar technology (whether now known or hereafter devised or discovered) which may be used by Sponsor for the purpose of tracking entries into the Sweepstakes.

By becoming a registered member of the iWon web service, you incur no obligations other than your agreement to be bound by the Sponsor's Terms of Service and Privacy Policy and to receive emails from Sponsor. You may opt-out of the receipt of such emails by following the opt-out directions in any email you receive or as posted on the Website. If you are a registered member of the iWon web service prior to April 1, 2006 you will have the option of entering into this Sweepstakes when you first access the Website as a signed-in member after 5:00 a.m. ET, on April 1, 2006.

Each time you access the Website you can receive a pre-determined number of entries for various activities and actions in which you participate during your visit. Throughout the Website there will also be other activities or actions that will result in you receiving additional entries into the Sweepstakes. The number of entries earned for various activities or actions will be specified in a manner determined by Sponsor. Sponsor reserves the right, by notification via the Website, email or other method of communication as reasonably determined by Sponsor, to offer additional methods of entry from time to time during the Sweepstakes Period. The number of entries for any activity or action may be changed by Sponsor at any time in its sole discretion; provided that Sponsor shall always offer on the Website a number of links which will permit you to accrue the maximum number of entries permitted to be entered into the Sweepstakes each Day.

From time to time throughout the Sweepstakes Period, Sponsor may offer additional "Bonus" entries for on-site activities, off-site activities (including activities occurring off the Internet) and activities available on selected associated websites. The number of Bonus entries available for any particular activity will be displayed next to the Bonus activity (or otherwise disclosed on the Website which will explain such off-the-Internet activities and stated as "Bonus" along with a description or link to a description of any related conditions or limitations. Each time you participate in the Bonus activity, you will receive the number of Bonus entries displayed into the Sweepstakes. The Website will display counters showing the Internet entries you have accumulated towards the Sweepstakes by using the Website. Due to technical limitations, the number of entries displayed on these counters may not be the actual number of entries you have accumulated, including without limitation, Bonus entries. Prior to the Grand Prize drawing, however, all entries will be properly recorded, credited and entered for that drawing.

Mail-in Method: To receive the maximum number of entries to be awarded for any month, on a 3"x5" card in black or blue ink hand print your full name, complete home address (including zip code), date of birth, gender, email address, and in the upper right hand corner of the card, your home phone number (including area code) followed by your first, middle and last initials and mail in a first class stamped #11 envelope to: iWon Annual Sweepstakes Entries c/o iWon.com, P.O. Box 444, Irvington, NY 10533. Limit 1 card per person per month. ALL OTHER MAIL-IN ENTRIES ARE VOID. To obtain the maximum entries available for any month, the card must be postmarked during that month and received within 7 days after the end of that month. If entry is by a minor, the following must be hand printed on the card "I have read and agree to the Official Rules of the iWon Annual Sweepstakes 2006-2007, and my child has my permission to participate in the Sweepstakes." The name of the minor's parent/legal guardian must be printed, signed, and dated next to such statement. For participants entering through the Mail-in Method, the maximum number of entries in each calendar month shall be equal to the number of days in the month multiplied by 100 plus the number of possible Bonus entries available in such calendar month.

Unless otherwise specified in writing on the Website, any other attempt to enter by Internet, email, mail-in entry or otherwise is void.

With the exception of Bonus Entries, you cannot exceed a maximum of 100 entries in any Day unless the maximum number of entries per Day is increased or decreased in accordance with these Official Rules, in which case said increased or decreased maximum will become the maximum number of entries permitted per Day. Any entries in excess of 100 per Day (or the maximum as increased or decreased in accordance with these Official Rules) accumulated in any Day will not be credited nor carried forward to the next Day (unless otherwise disclosed).

Entrants may not enter with multiple email and/or multiple identities nor may entrants use any other device or artifice to obtain more than the maximum number of entries. Any entrant who attempts to participate with multiple email and/or multiple identities or uses any device or artifice to obtain more than the maximum number of entries may be disqualified. All entries (up to the maximum) accumulated in any Day will become entries into the Grand Prize drawing. Sponsor reserves the right to increase or decrease the maximum number of entries permitted per Day. Any such increase, decrease will be announced on the Website and/or by an email from Sponsor in which case the increase, decrease will become effective on the first day of the calendar month following the date on which notice is given. Sponsor shall, however, be under no obligation to make any such increase or decrease.

No participant can receive more than the maximum number of permitted entries for the Sweepstakes Period, which number shall be 36,500 (inclusive of Bonus entries).

4. DRAWING
One winner will be selected by random drawing from all eligible entries received (the "Winner"). Sponsor may at its sole discretion conduct one or more random interim drawing(s) at the conclusion of the Sweepstakes Period, selecting up to one hundred (100) eligible entries received per interim drawing and from that/those interim drawings randomly select the Winner. Drawing(s) for the Grand Prize will take place on or about 4/15/07. Drawings will be conducted under the supervision of SCA.

To be declared a Winner, a potential Winner from Canada may be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a 4-function mathematical skill-testing question in no more than 5 minutes, the test to be administered by telephone. If a potential Winner from Canada cannot be contacted and the skill test administered within five (5) days of notification, or the question is not correctly answered, the prize will be forfeited and an alternate Winner will be selected.

5. PRIZE/ODDS
Grand Prize: There will be one "Grand Prize" awarded for the entire Sweepstakes Period of one million dollars ($1,000,000) paid as an annuity in equal installments for 40 years of twenty five thousand dollars ($25,000) per year, without interest. In lieu of the annuity, Sponsor reserves the right at its sole discretion to give the Winner the qualified option of electing a lump sum payment equal to the cost of the annuity as of the proposed annuity purchase date. Such qualified prize option could be subject to the requirements of section 451(h) of Title 26 of the U.S. Code, including the requirement that such an option be exercised within sixty (60) days of the Winner's entitlement to receive such Grand Prize. Further, if the Winner elects the annuity, the Winner agrees to release Sponsor, its surety, SCA and their parents, distributors, affiliates, subsidiaries, officers, vendors, advertising agencies and promotion agencies and each of their respective directors, officers, employees, representatives and agents from all liability and responsibility for payments of the Grand Prize and acknowledge that such liability and responsibility shall rest only with the annuity company from which the annuity is purchased for the Winner.

Odds of winning depend on the number of eligible entries received. No assignment, transfer or substitution of Grand Prize is permitted. All prizes are expressed in U.S. Dollars.

Taxes are the sole responsibility of winner.

A Grand Prize won by a minor (as minor is defined by the jurisdiction of minor's residence) will be awarded in the name of, or to, the minor's parent or legal guardian, or as may otherwise be deemed appropriate by Sponsor, in its sole judgment. The parent or guardian of a winning-minor must execute all documents and agree to all obligations and undertakings on behalf of himself/herself and the winning minor, or the Grand Prize may be forfeited and awarded to an alternate Winner.

6. GENERAL CONDITIONS
Winners, and Winner's parents or legal guardians if Winner is a minor (both on behalf of themselves and Winner) must complete, execute and return an Affidavit of Eligibility, a Liability Release, and where lawful, a Publicity Release within 7 days of notification in a form provided by Sponsor. Failure to timely return any documents, or if prize notification or prize is returned as non-deliverable, or if Winner is found not to be in compliance with these Official Rules or otherwise ineligible, may result in disqualification with an alternate Winner selected.

Where permitted by law, you, and your parents or legal guardians if you are a minor (both on behalf of themselves and you), (and in those instances when interim drawings have taken place, those who have been selected in the interim drawings) hereby give permission to Sponsor and SCA, and their respective parent, distributors, affiliates, subsidiaries, officers, vendors, advertising agencies and promotion agencies and their respective directors, officers, employees, representatives and agents permission to use, reproduce, exhibit, display, print, distribute, publish and broadcast, without any obligation to compensate you, your name, city/state, picture, portrait, likeness, voice, biography, and winner's statement, contained in, or relating to, your entry in the Sweepstakes in any and all advertising marketing and promotional materials, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, except where prohibited by law, and without notice, approval or review by you.

Where permitted by law, you, and your parents or legal guardians if you are a minor (both on behalf of themselves and you) and on behalf of your heirs, executors, administrators and assigns, agree to release and hold harmless Sponsor and SCA, and their parents, distributors, affiliates, subsidiaries, officers, vendors, advertising agencies and promotion agencies, and each of their respective directors, officers, employees, representatives and agents from any and all liability for, or relating to, any and all rights, claims and causes of action whatsoever that you may have, or which may arise, against any of the foregoing for any matter or cause whatsoever, including without limitation, any injuries, loss or damage of any kind, whether direct or compensatory, incidental, consequential or otherwise to any person, including death, and property damage, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the Grand Prize, your participation in any Sweepstakes related activity, or your participation in the Sweepstakes.

Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or the Website; to be in violation of the Terms of Service of the Website; to be acting in violation of the Official Rules; to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries by such methods and persons using any such methods will be disqualified.

If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right to cancel, terminate, modify or suspend the Sweepstakes and conduct a random drawing to award the Grand Prize using all eligible entries received as of the termination date. If the Sweepstakes is terminated due to tampering or technical difficulties prior to its expiration date, notice will be posted at http://www.iwon.com

ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND SCA RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM THOSE RESPONSIBLE TO THE FULLEST EXTENT PERMITTED BY LAW.

7. LIMITATIONS OF LIABILITY
NEITHER SPONSOR NOR SCA ARE RESPONSIBLE FOR LATE, LOST, ILLEGIBLE, MISDIRECTED, STOLEN, UNDELIVERED, SEPARATED, OR POSTAGE DUE ENTRIES OR MAIL, AND NEITHER SPONSOR NOR SCA ASSUME RESPONSIBILITY FOR ANY ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMMUNICATIONS LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO ITS WEBSITES. NEITHER SPONSOR NOR SCA ARE RESPONSIBLE FOR ANY PROBLEMS OR TECHNICAL MALFUNCTION OF ANY TELEPHONE NETWORK OR TELEPHONE LINES, COMPUTER ON-LINE SYSTEMS, SERVERS, COMPUTER EQUIPMENT, SOFTWARE, FAILURE OF ANY E-MAIL OR ENTRY TO BE RECEIVED BY SPONSOR ON ACCOUNT OF TECHNICAL PROBLEMS, HUMAN ERROR OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE, OR ANY COMBINATION THEREOF.

NEITHER SPONSOR NOR SCA ARE RESPONSIBLE FOR ANY INCORRECT OR INACCURATE CAPTURE OF INFORMATION OR THE FAILURE TO CAPTURE SUCH INFORMATION, WHETHER CAUSED BY WEBSITE USERS, TAMPERING OR HACKING, OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE SWEEPSTAKES. NEITHER SPONSOR NOR SCA ARE RESPONSIBLE FOR INJURY OR DAMAGE TO PARTICIPANTS' OR TO ANY OTHER PERSON'S COMPUTER RELATED TO OR RESULTING FROM PARTICIPATING IN THIS SWEEPSTAKES OR DOWNLOADING MATERIALS FROM OR USE OF THE WEBSITE.

IN NO EVENT WILL SPONSOR OR SCA THEIR PARENTS, DISTRIBUTORS, AFFILIATES, SUBSIDIARIES, OFFICERS, VENDORS, ADVERTISING AGENCIES AND PROMOTION AGENCIES AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THIS SWEEPSTAKES, ACCESS TO AND USE OF THE WEBSITE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE WEBSITE. 8. ARBITRATION AND DISPUTES
As a condition of participating in this Sweepstakes, you (and your parents/legal guardians if you are a minor) agree that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, or the determination of the Winner shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering this Sweepstakes), and you further waive all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or your rights and obligations or Sponsor's or SCA's rights and obligations in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, U.S.A., without giving effect to the conflict of laws rules thereof, and all proceedings shall take place in that State in the City of New York, County of New York.

In the event of a dispute as to the identity of the Winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

9. WINNERS LIST
To obtain the name of the Winner, mail a self-addressed stamped envelope for receipt by May 1, 2007 to: iWon Grand Prize Winner, P.O. Box 77, Irvington, NY 10533. To obtain a copy of the Official Rules, mail a self-addressed stamped envelope to the above address marked "Official Rules: iWon Annual Sweepstakes" for receipt by March 31, 2007 by 11:59 p.m. ET on March 31, 2007. Residents of Canada may omit return postage. The name of the Winner will also be posted at http://www.iwon.com.
